  The aim of this paper is to revise the theory in which a reference was made to the issue of divestment. The starting point of the deliberations is the eclectic paradigm of Dunning. It seems that a certain ‘reversal’ of the paradigm provides a good basis for the interpretation of divestment which is the result of an exposure to one of the four factors: equilibrium adjustment, risk avoidance, revision of investors’ preferences and error correction. Then, theories of internalisation, location and the new economic geography are discussed. In the next section theories and concepts of management companies where the determinants of divestment can be found are presented. These include alternative theories, companies finances, real options, competitive advantage and core competencies, strategic renewal and outsourcing.;
  Celem artykułu jest dokonanie przeglądu teorii, w których odniesiono się do problemu dezinwestycji. Punkt wyjścia stanowi paradygmat eklektyczny Dunninga. Rzeczywiście wydaje się, że pewne „odwrócenie” paradygmatu daje dobre podstawy do interpretacji dezinwestycji. Jest ona wynikiem oddziaływania jednego z czterech czynników: dostosowania do równowagi, uniknięcia ryzyka, rewizji preferencji inwestorów oraz naprawy błędu. Dostosowanie do równowagi opisuje dezinwestycje jako reakcję na dokonane zmiany w otoczeniu. Następnie omówiono teorie internalizacji, lokalizacji i nowej geografii ekonomicznej. W kolejnej części przedstawiono teorie przedsiębiorstwa oraz koncepcje zarządzania, w których można odnaleźć determinanty dezinwestycji. Należą do nich: teorie alternatywne, finansów przedsiębiorstwa, opcje rzeczywiste, przewaga konkurencyjna i kluczowe kompetencje, strategiczna odnowa organizacji oraz outsourcing.
